All Florida businesses must submit their annual reports by May 1st each year to remain in good standing.
Missing this deadline will result in a $400 late penalty imposed by the state.
If your business fails to file by the third Friday in September, the Florida Department of State will dissolve or revoke your business status at the close of business on the fourth Friday in September. Reinstating your business after this requires additional fees.

Missed Your Renewal?
Didn’t file your Annual Report or Fictitious Name Renewal on time?
We can help.
- Annual Report: If the May 1st deadline has passed, you can still file your report by paying the State’s $400 late fee. Act fast—businesses not filed by mid-September risk being administratively dissolved. Need reinstatement? We handle that too.
- Fictitious Name: If your DBA wasn’t renewed by December 31st of its final year, Florida requires a brand-new registration. We’ll guide you through the re registration process quickly and correctly.
